These terms govern consumer access to Perkee, participation in its Perks system and use of Perkee Checkout. They form an agreement between Perkee LLC (“Perkee”) and the person accepting them (“you”). The specific conditions of an offer or feature are displayed before you use it.
Key terms
Perks provide benefits at active network merchants, subject to the displayed conditions and limits. They are not money or a balance deposited with Perkee.
The merchant sells the product or service and handles purchase claims. Perkee provides the platform and Checkout.
Perkee does not hold your funds in custody, has no access to your private keys or recovery phrases and will never request them. Your wallet and authorizations are your responsibility.
Checkout payments use USDC on Polygon. A confirmed transfer generally cannot be reversed; errors or incidents may cause permanent loss of funds.
Perkee may optionally sponsor gas and change or discontinue coverage without advance notice, unless legally required. Any cost you must bear will be displayed before you authorize the transaction.
Activating your account requires acceptance of these terms and the Perkee Perks Program Rules, including Annex A. If you link ATH Móvil, you authorize use of payment notifications to identify purchases and administer Perks.
You may cancel your account at any time. Cancellation is immediate and results in loss of access to the platform and any available Perks. If Perkee terminates the account without cause, you have 30 days from notice to use your Perks.
These terms include liability exclusions to the extent permitted by law. They do not eliminate legally non-waivable rights or responsibilities.
1 Acceptance and scope
1.1 Acceptance. To activate your Perkee account, you must expressly accept these Terms of Use and the Perkee Perks Program Rules, including Annex A, through a single checkbox, button or other affirmative mechanism enabled during activation. You may review both documents before accepting and retain a copy; separate acceptance of the rules is not required. When you link your ATH Móvil number, you also authorize the use described in section 2. If you do not accept, do not activate the account or use features subject to this agreement.
1.2 Related documents. The Perkee Perks Program Rules, including Annex A, form part of this agreement and govern earning and redemption. These Terms of Use govern general access, Checkout, consumer liability and disputes. An offer’s specific conditions specify its requirements without eliminating legal rights or express obligations under these documents. The Perkee Privacy Policy explains personal data processing. The Perkee Merchant Services Agreement governs the relationship with merchants and does not make the consumer a party to that contract.
2 Account and access
2.1 Age, capacity and information. You must be at least 18 years old and have legal capacity to accept this agreement, and meet the legal requirements for your purchases and applicable external provider requirements. Provide accurate, current information, use only accounts and wallets you are authorized to control and do not impersonate another person. If acting for an entity, you must have authority to bind it.
2.2 Security. Protect your devices, access, verification codes and credentials. Do not share codes or grant access to strangers. Notify info@perkeepay.com if you suspect unauthorized access; never send private keys or recovery phrases. Perkee may request reasonable verification and temporarily restrict features to protect an account. Assistance does not guarantee account or fund recovery.
2.3 Activation and ATH Móvil linking. During activation, you provide the required information and may link the phone number you use with ATH Móvil. You must verify control of that number through a one-time code sent by SMS or another mechanism enabled by Perkee. Do not link someone else’s number. This verification links the number to your Perkee account; it does not grant Perkee access to your ATH Móvil account or authorization to initiate payments from it.
2.4 Authorization and purpose. By accepting these terms and linking your ATH Móvil number, you authorize Perkee to receive and use payment and refund notifications from participating merchants that have enabled the ATH Business connection. Notifications may include name, phone number, email, date, amount, reference and transaction status. Perkee uses that data to identify and link eligible purchases to your account, credit Perks, record redemptions, prevent duplicates, address refunds and maintain related records under the Privacy Policy. Payment is made directly through ATH Móvil to the merchant; Perkee receives transaction information and does not receive or hold that payment’s funds in custody.
2.5 Identification conditions. Automatic earning requires the merchant’s connection to be enabled, receipt of a valid notification and data sufficient to identify your linked account. Delays or matching failures may occur; an unidentified payment does not guarantee automatic or retroactive Perks credit. Keep your number current and report errors to support. You may request unlinking or account closure; unlinking prevents identification of new payments through that link without eliminating records that legally must be retained. Perkee does not request ATH Móvil passwords, PINs, access codes or credentials; Perkee’s verification code is entered only in its activation process.
3 Service and participating merchants
3.1 Platform. Perkee is a technology company that enables discovery of merchants and offers, accumulation and use of Perks and access to Checkout for wallet payments. Available features may vary during launch, by merchant, technical compatibility or location. A merchant listing does not guarantee availability, quality or fulfillment of an offer.
3.2 Sale. The merchant is responsible for its products, services, prices, taxes, tips, delivery, permits, offers and return policies, within the law. Perkee does not become the seller by facilitating the purchase. You verify the merchant and transaction details before confirming. Perkee remains responsible for its own legal obligations and operation of its service under this agreement.
4 Nature and accumulation of Perks
4.1 Universal system. Perks are points in a loyalty and merchant discovery system. They are earned through eligible activities and provide access to discounts or benefits across the network. They are not money, cryptocurrencies, deposits, investments or a monetary claim against Perkee or a merchant; they do not earn interest and are not guaranteed to be redeemable for cash.
4.2 Earning. Eligible activity, earning criteria and each promotion’s requirements are displayed in the platform or corresponding offer. Recording a purchase does not, by itself, guarantee points. Perkee may verify confirmation, eligibility and duplicates before crediting points. Keep your account information correct to allow identification of eligible activities; report discrepancies with available evidence.
4.3 Account and use. Perks are recorded in the corresponding account. Selling, exchanging or transferring them between accounts, or obtaining them through fictitious activity, is prohibited unless a feature expressly authorized by Perkee allows it. Perkee may reject duplicate or ineligible credits and correct verified errors.
4.4 Referrals. Perkee may award Perks for referring other consumers. Eligibility requirements, the reward and the conditions for crediting it will be displayed in the platform for each program or offer. Self-referrals, fictitious accounts and other fraudulent practices are prohibited; Perkee may reject or reverse Perks obtained through those practices.
5 Redemption and offers
5.1 Active merchants. Active merchants accept Perks within validly configured limits and applicable conditions. Redemption does not depend on the merchant where the points were earned. Review the benefit, required points, restrictions and availability before confirming. Perks do not guarantee unlimited discounts or eligibility of every purchase.
5.2 Parameters and changes. The Perkee Perks Program Rules and Annex A contain current general parameters and the reference equivalence, which does not turn Perks into money or determine the value of each offer. Applicable minimums and limits are displayed on the platform before use. Perkee may update parameters under section 18 and the rules, without changing confirmed purchases or redemptions or eliminating previously acquired rights. Any expiration must be disclosed before the corresponding Perks are earned; no general expiration or automatic forfeiture for inactivity is established.
5.3 Offers. Each merchant sets its discounts, products, special services or other benefits and the number of Perks required to obtain them, subject to program requirements. Its special offers do not replace or reduce general Perks acceptance within applicable limits and requirements. Review eligibility, duration, availability and limits before redemption. Perks, discounts and promotions may be combined only when the displayed conditions permit. A correction does not permit repudiation of a validly accepted offer or confirmed purchase or redemption.
6 Returns and Perks adjustments
6.1 Adjustments. A cancellation, refund, failed payment or fraudulent activity may result in removal of Perks earned through that activity. If already used, the adjustment may reduce the balance or create a negative points balance affecting later redemptions. That points balance does not, by itself, create a monetary debt. Treatment of Perks used in a returned purchase depends on the redemption and disclosed rules, without guaranteeing duplicate restorations.
6.2 Review. Perkee may correct internal records to reflect actual activity, resolve duplicates and prevent abuse. It may request evidence and restrict disputed activity during review. You may request review of an adjustment at info@perkeepay.com. Correcting a Perks record or payment status does not alter or reverse a transfer executed on the blockchain.
7 Checkout and payment authorization
7.1 Experience. The merchant configures its receiving wallet and Perkee generates a QR code leading to Checkout. You scan the code, review the purchase and, when features are enabled, use Perks, accept offers and add a tip. You then connect your wallet and authorize payment with the confirmations that wallet requires.
7.2 Review and authorization. Before authorizing, verify the merchant, recipient, network, asset, final amount and requested permissions. Do not rely solely on the appearance of a QR code or link: verify it corresponds to the expected Checkout and purchase. Your approval authorizes the operation displayed by the wallet or corresponding contract. A token approval may permit a contract to use tokens within the granted scope; review that permission before signing.
7.3 Charges. Checkout must display the amount payable and any charge you must bear before authorization. Purchase prices and line items are the merchant’s responsibility. The commission agreed between Perkee and the merchant does not, by itself, constitute an additional consumer charge. External providers may apply their own fees, which you must review before using their services.
8 USDC and Polygon
8.1 Asset and network. Checkout uses USDC, a digital asset issued by Circle and designed to maintain a value close to one U.S. dollar, on the Polygon network (Polygon PoS, where PoS means “Proof of Stake”). Polygon is a blockchain network where validators record transfers. USDC is not cash deposited with Perkee, and Perkee does not guarantee its value or conversion into dollars.
8.2 Compatibility. Use only the asset, network and token version supported by Checkout. A similarly named token, USDC on another network or a bridged version such as USDC.e is not automatically compatible. Also verify your wallet’s and the recipient’s requirements. A valid address format does not establish that it belongs to the intended merchant or accepts the asset sent.
9 Wallet and absence of custody
9.1 No custody. Perkee does not hold consumer or merchant funds in custody, has no access to their private keys or recovery phrases and will never request them. Checkout facilitates user-authorized transfers through wallets and smart contracts; Perkee receives only its applicable charges. Perkee does not maintain your purchase amounts as a funds balance deposited in your name.
9.2 Your responsibility. The wallet, keys, credentials, backups, recovery and permissions are the holder’s responsibility, including when connected or created through an integrated interface. A wallet provider’s terms apply to its own services. Perkee does not guarantee recovery of access and has no obligation to recover or replace funds lost through user errors, compromised credentials, phishing, malware or external causes not attributable to Perkee. Section 16’s exceptions apply.
10 Confirmation and lost funds
10.1 Status. A request, provisional success screen or pending record does not necessarily mean a confirmed transfer. A transaction may fail, be delayed or expire. Before repeating a payment, verify its status to avoid duplicates. Perkee may update the displayed status based on available evidence without changing blockchain history.
10.2 Irreversibility. Confirmed transfers are generally irreversible. Address, network, token, amount or permission errors may cause permanent loss. Perkee has no obligation to replace or reimburse funds lost through user errors or external causes not attributable to Perkee. Assistance does not imply a recovery guarantee or admission of liability. Legally non-waivable responsibilities are not excluded.
11 Gas and fund conversion
11.1 Gas. Perkee may, at its discretion, pay or sponsor all or part of the network cost or “gas” for certain Checkout transactions. It is not obligated to offer or maintain that coverage and may introduce, change, limit or discontinue it at any time without advance notice, unless legally required. If a transaction requires you to bear a cost, it will be displayed before authorization. Coverage does not automatically extend to external transfers, withdrawals, refunds, approvals or other operations; a failed attempt may incur network costs.
11.2 External services. Buying assets with traditional money or converting them and withdrawing to a bank account—on-ramp and off-ramp—depends on the selected provider. Its identity requirements, compatibility, fees, timing, restrictions and terms are independent. Perkee does not guarantee account opening, deposits, withdrawals, liquidity or exchange rates and is not responsible for third-party holds, insolvency or failures not attributable to Perkee.
12 Purchases and refunds
12.1 Merchant claims. Direct claims concerning goods, services, delivery or returns to the merchant. Perkee may provide records and facilitate communication without replacing the seller or funding the refund. Merchant conditions cannot eliminate mandatory consumer rights.
12.2 Separate operation. Returning USDC requires a separate operation that may require funds, a signature and gas. Recipient, network and amount must be verified; requesting or recording a refund does not establish execution. A wallet transfer does not, by itself, include a card chargeback mechanism. That technical characteristic does not eliminate the right to bring a claim or applicable legal refund obligations of the merchant or Perkee.
13 Known and unknown risks
13.1 Technology and external risks. Wallets, smart contracts and digital assets may experience attacks, vulnerabilities, congestion, network reorganizations, integration or provider failures and protocol changes. USDC may trade above or below one dollar; the issuer or authorities may restrict certain operations or assets. Access or funds may be lost. Perkee does not guarantee reserves, liquidity, price or deposit insurance and does not offer an investment or yield for holding USDC.
13.2 Scope. These risks are not exhaustive. Unknown or unforeseeable risks may arise from technological, legal or market changes. You assess your capacity and use these features at your own risk to the extent permitted by law. This acceptance does not exclude Perkee’s legally non-waivable responsibilities.
14 Data and communications
14.1 Processing. Perkee uses data necessary to administer accounts, identify eligible activities, record Perks and transactions, provide support and protect the service, under the Privacy Policy and legally required authorizations. ATH Móvil linking and use of its payment notifications are described in section 2. Marketing authorizations, where necessary, are managed separately from acceptance of these terms.
14.2 Blockchain and notices. Addresses, amounts and blockchain records may be public and persistent. Deleting a Perkee account does not remove those records or guarantee anonymity. Do not enter unnecessary personal data or secrets in public fields. Keep contact information current to receive account, security and service change communications.
15 Permitted use and intellectual property
15.1 Prohibitions. Do not use the service for fraud, fictitious transactions, exploitation of errors, circumvention of limits, unauthorized access, unlawful or sanctions-prohibited activities, malicious code or interference with other users. Do not manipulate QR codes, amounts or identities, or use others’ information without authorization. Perkee may investigate and retain evidence under the law.
15.2 Platform and content. Perkee and its licensors retain rights to the platform, software and marks. You receive limited permission to use enabled features under these terms, not to copy, resell or exploit the service without authorization. You retain your rights to content you provide and authorize Perkee to use it as necessary to provide the service. You must have the right to provide that content.
16 Availability and liability
16.1 Service. Maintenance, errors or external dependencies may cause interruptions. Perkee does not guarantee continuous operation, universal compatibility or specific results. To the extent permitted by law, the service is provided without implied warranties of merchantability or fitness for a particular purpose. No promotional statement modifies these conditions without an applicable express commitment.
16.2 Exclusions. To the maximum extent permitted by applicable law, Perkee is not responsible for losses attributable to user errors, their credentials, wallets or third-party services and not attributable to Perkee, or for indirect, special, incidental, consequential or punitive damages or lost profits or opportunities. Asset losses are not automatically indirect: they are assessed according to cause. These exclusions do not eliminate Perkee’s own responsibilities that legally cannot be excluded or limited.
16.3 Exceptions and force majeure. No exclusion or limit applies to intentional wrongdoing (dolo), consumer rights or responsibilities the law prohibits limiting. These provisions operate only to the extent permitted by law. Neither party is responsible for failures caused by events beyond its reasonable control and not attributable to it, without eliminating earlier obligations or legal mitigation duties.
17 Suspension and closure
17.1 Voluntary cancellation. You may cancel your account at any time through enabled features or info@perkeepay.com. Before confirmation, Perkee will warn you that you will lose access to the platform and your Perks. Cancellation takes effect immediately and results in loss of access to the platform and any available Perks. Cancellation does not reverse earlier payments or eliminate rights and obligations arising from purchases already made. It does not transfer your wallet funds to Perkee. Data is managed under the Privacy Policy and legal retention obligations.
17.2 Termination and restrictions by Perkee. If Perkee terminates your account without cause, it will notify you and give you 30 days from notice to use your Perks under the applicable rules. At the end of that period, the account closes and you lose access to the platform and any remaining Perks. For fraud, theft, unlawful activity, material breach or legal or security grounds, Perkee may restrict features, suspend or close the account and cancel your Perks with immediate effect to the extent permitted by law. Restrictions do not permit holding your wallet funds, eliminating rights from earlier purchases or evading legal obligations; applicable claim mechanisms remain available.
17.3 Network and effects. If a merchant departs, you retain your Perks for use at active merchants; the departing merchant is not required to accept new redemptions after its effective departure. If the program ends, Perkee will communicate legally required closure conditions; cash redemption is not guaranteed. Provisions necessary to resolve earlier events survive, including those concerning data, intellectual property, liability and disputes.
18 Changes to terms and rules
18.1 Notice. Perkee will communicate material changes to these terms or Perks rules with reasonable advance notice, stating their content and effective date by email or prominent notice. Changes will be prospective and will not alter confirmed redemptions or purchases. Express acceptance will be requested when necessary; silence does not replace it. You may stop using the service and close your account before application.
18.2 Exceptions. Gas coverage changes are governed by section 11. Urgent legally required or security adjustments may apply immediately where appropriate. An update does not eliminate previously acquired rights or turn a technical error into authorization to obtain improper benefits.
19 Third-party services
19.1 Independence. Wallets, networks, conversion providers and external services have their own terms and responsibilities. Perkee does not control their availability or conduct. ATH Business is an independent Evertec service; Perkee is neither ATH Business nor Evertec and does not represent affiliation or endorsement. A payment made directly through that external service does not become a Perkee Checkout transfer because it generates Perks.
20 Law and disputes
20.1 Law and courts. Puerto Rico law and applicable federal law govern. Disputes will be submitted to competent state or federal courts in Puerto Rico, subject to mandatory jurisdiction rules and any forum protection applicable to the consumer. Regulatory agency authority and non-waivable rights are preserved.
20.2 Communication. When possible, notify info@perkeepay.com of a dispute to attempt good-faith resolution. Exhausting informal efforts is not required. This communication does not toll legal deadlines or prevent access to courts, agencies or urgent measures.
21 General provisions and contact
21.1 Entire agreement. These terms and validly incorporated conditions form the agreement on their subject. If a provision is unenforceable, the others continue to the extent they can lawfully operate. Not immediately exercising a right does not waive it. An assignment of the service does not reduce consumer rights or transfer your keys or funds to Perkee.
21.2 Language and contact. In discrepancies between versions, Spanish prevails unless validly agreed otherwise or legally required. Contact: Perkee LLC — info@perkeepay.com.
